Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the Shaarwin website (shaarwin.co), our software products (including Shaarwin CA at ca.shaarwin.co), and related services (collectively, the "Services") operated by Shaarwin ("we", "us", "our").

By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of a firm or organization, you represent that you have authority to bind that entity. If you do not agree, do not use the Services.

2. Description of services

Shaarwin provides cloud-based software-as-a-service products for business professionals. Shaarwin CA is a compliance and practice management platform for Chartered Accountant firms, including client management, task workflows, document handling, team collaboration, and related features.

Features, integrations, and availability may evolve over time. We may add, modify, or discontinue features with reasonable notice where practicable. Beta or early-access features may be offered as-is and may change without notice.

3. Account registration and security

You must provide accurate, complete registration information and keep your account credentials confidential. You are responsible for all activity under your account and for ensuring that users you invite comply with these Terms.

Notify us promptly at hello@shaarwin.co if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or pose a security risk.

4. Subscriptions, trials, and billing

Paid plans are billed on a recurring basis (typically monthly) in Indian Rupees (INR), unless otherwise stated. Prices exclude applicable taxes such as GST unless explicitly included.

A free trial may be offered for eligible plans. At the end of a trial, continued use requires selecting a paid plan. Failure to subscribe may result in restricted access; data may be retained for a limited period as described in our Privacy Policy.

You authorize us and our payment partners to charge applicable fees. Plan changes (upgrade or downgrade) take effect according to the billing cycle described at purchase. Refunds, if any, are handled as stated on our pricing page or required by applicable law.

5. Acceptable use

You agree not to:

- Use the Services for unlawful purposes or in violation of applicable regulations - Upload malicious code, attempt unauthorized access, or interfere with platform integrity - Misuse client or third-party data obtained through the Services - Resell, sublicense, or reverse engineer the Services except where permitted by law - Use the Services to send spam or harassing communications

We may investigate violations and take action including suspension or termination.

6. Your data and responsibilities

You retain ownership of data you submit to the Services ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Services.

You are responsible for the accuracy, legality, and appropriateness of Customer Data, including client information and documents. You must have the necessary rights and consents to upload and process such data.

Shaarwin CA assists with compliance workflows and document organization. It does not replace professional judgment, statutory filings, or advice from a qualified Chartered Accountant. You remain solely responsible for compliance with applicable laws, regulations, and professional standards.

7. Intellectual property

The Services, including software, design, trademarks, and documentation, are owned by Shaarwin or its licensors and protected by intellectual property laws. These Terms do not grant you ownership of the Services—only a limited, non-exclusive, non-transferable right to use them during an active subscription or trial.

Feedback you provide may be used by us without obligation to compensate you.

8. Confidentiality and security

We implement reasonable technical and organizational measures to protect Customer Data, as described in our Privacy Policy. You are responsible for configuring roles and permissions appropriately within your firm.

Each party agrees to treat non-public information received from the other as confidential, except where disclosure is required by law.

9. Service availability

We strive for reliable availability but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, updates, or events beyond our reasonable control may cause temporary downtime.

Support is provided according to your plan tier. Response times are best-effort unless a separate service-level agreement applies.

10. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will meet all your requirements, that results will be error-free, or that all compliance deadlines will be met without your oversight.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHAARWIN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR INR 10,000, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Shaarwin from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your Customer Data, your violation of these Terms, or your violation of any third-party rights or applicable law.

13. Termination

You may cancel your subscription according to the billing process in your account. We may suspend or terminate access if you breach these Terms, fail to pay fees, or if required by law.

Upon termination, your right to use the Services ends. Provisions that by nature should survive (including limitations of liability, indemnity, and intellectual property) will survive termination.

14. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts in India shall have exclusive jurisdiction over disputes arising from these Terms or the Services, subject to any mandatory consumer protection provisions that apply to you.

15. Changes to terms

We may update these Terms from time to time. The "Last updated" date reflects the current version. Material changes will be posted on this page and, where appropriate, notified by email or in-product notice. Continued use after changes take effect constitutes acceptance.
